These Terms of Service ("Terms") govern your access to and use of ZupiChat, a product of Codelith Lab ("ZupiChat", "we", "us"), available at zupichat.com. By creating an account or using the Service, you agree to these Terms.

1. The Service

ZupiChat is a software platform that helps businesses send and manage WhatsApp Business messages, run campaigns, automate replies, and manage contacts, through Meta's WhatsApp Business Platform (Cloud API). ZupiChat is an independent product and is not affiliated with, endorsed by, or an official product of Meta or WhatsApp.

2. Eligibility & account

You must be at least 18 and able to enter a binding contract. You are responsible for the accuracy of your account information and for keeping your credentials secure. You are responsible for all activity under your account.

3. WhatsApp / Meta compliance

Your use of WhatsApp through ZupiChat is additionally subject to Meta's and WhatsApp's terms and policies, including the WhatsApp Business Messaging Policy and Commerce Policy. You must obtain valid opt-in/consent before messaging any person, honour opt-outs, and only send permitted content. Message-template approval, quality ratings, messaging limits, and account bans are determined by Meta — we do not control and cannot guarantee template approval, deliverability, the "green tick", or that a number will not be restricted by Meta.

4. Acceptable use

• No spam, bulk messaging without consent, or purchased/scraped contact lists.
• No unlawful, deceptive, infringing, hateful, or harmful content.
• No attempt to breach security, reverse-engineer, or resell the Service except under an authorised reseller/white-label arrangement.

We may suspend or terminate accounts that violate this section or that put our Meta relationship at risk.

5. Fees, wallet & billing

Subscription and platform fees are billed as shown at purchase. WhatsApp conversation charges set by Meta are billed through your prepaid wallet; you agree to maintain sufficient balance. Fees are exclusive of taxes (including GST) unless stated. Prices may change with notice as described at checkout. Except as stated in our Refund & Cancellation Policy, fees are non-refundable.

6. Customer responsibilities

You are responsible for the WhatsApp Business Account and access token you connect, for the lawfulness of your messaging, for obtaining consent, and for the content of your messages and campaigns.

7. Intellectual property

ZupiChat and Codelith Lab own all rights in the platform, software, and branding. You retain ownership of your own content and data. You grant us the limited licence needed to operate the Service for you.

8. Third-party services

The Service integrates with third parties (Meta, payment gateways, and others). Your use of those services is subject to their terms, and we are not responsible for them.

9. Disclaimers

The Service is provided "as is" and "as available". To the maximum extent permitted by law, we disclaim all warranties, including fitness for a particular purpose and uninterrupted or error-free operation. Any service-level commitments, if offered, are stated separately in writing.

10. Limitation of liability

To the maximum extent permitted by law, ZupiChat and Codelith Lab will not be liable for indirect, incidental, special, or consequential damages, or for lost profits or data. Our total liability for any claim is limited to the amount of platform fees you paid to us in the three (3) months before the claim.

11. Indemnity

You agree to indemnify ZupiChat and Codelith Lab against claims arising from your messaging, your content, your breach of these Terms, or your violation of law or Meta/WhatsApp policies.

12. Suspension & termination

You may stop using the Service at any time. We may suspend or terminate access for breach of these Terms, non-payment, or risk to our platform or Meta relationship. On termination, your right to use the Service ends; data handling follows our Privacy Policy.

13. Governing law

These Terms are governed by the laws of India. Courts at Pune, Maharashtra have jurisdiction, without prejudice to any mandatory consumer-protection rights you may have in your own country.
